Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Wirescale website, products, and services (collectively, the "Service") provided by Wirescale ("Wirescale", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, booking a demo, or otherwise accessing the Service, you represent that you are at least 18 years old and have the authority to bind your organization to these Terms.

2. The Service

Wirescale provides AI phone agents, automation, lead-handling, and customer intelligence tools designed for service businesses. Specific features, pricing, usage limits, and service levels are described on our website or in a separate order form or master subscription agreement (collectively, an "Order"). In the event of a conflict, an executed Order controls over these Terms.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at sales@wirescale.io if you suspect any unauthorized use.

4. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Service to violate any law, regulation, or third-party right;
• Send spam, unsolicited messages, or content that infringes any intellectual property right;
• Attempt to reverse engineer, decompile, or circumvent any security measure of the Service;
• Resell, sublicense, or make the Service available to any third party except as expressly permitted in an Order;
• Use the Service to make calls or send messages that violate the TCPA, FTC, FCC, or any equivalent rule in your jurisdiction.

5. Fees and Payment

Fees, billing terms, and renewal terms are as set forth in your Order. Unless otherwise specified, fees are non-refundable, exclusive of taxes, and due upon receipt of invoice. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. Customer Data

You retain ownership of all data you or your end-users provide to the Service ("Customer Data"). You grant Wirescale a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely to provide and improve the Service.

7. Intellectual Property

Wirescale and its licensors retain all right, title, and interest in and to the Service, including all software, models, content, trademarks, and documentation. No rights are granted except as expressly stated in these Terms.

8. Confidentiality

Each party agrees to protect the other's Confidential Information using the same degree of care it uses to protect its own confidential information of like kind (but in no event less than reasonable care) and to use such information only as necessary to perform under these Terms.

9. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIRESCALE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. EACH PARTY'S TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO WIRESCALE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wirescale and its affiliates from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service in violation of these Terms or applicable law.

12. Term & Termination

These Terms remain in effect for so long as you use the Service. Either party may terminate for material breach if uncured within 30 days of notice. Sections that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in King County, Washington, and the parties consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by email or a notice on the Service). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
